ENVELLA TERMS OF SERVICE

Effective Date: October 26, 2026
Last Updated: October 26, 2026

These Terms of Service ("Terms") form a legally binding agreement between you and Envella, Inc., a Delaware corporation ("Envella," "we," "us," or "our").

These Terms govern your access to and use of Envella websites, applications, software, content, and related products and services (collectively, the "Services").

By creating an account, accepting these Terms, or using the Services, you agree to these Terms and acknowledge the Envella Privacy Policy.

If you do not agree, do not use the Services.

If you download an Envella application through an app store, an applicable End User License Agreement ("EULA") or app-store terms may also apply. Where an applicable EULA conflicts with these Terms concerning the software license, the EULA controls for that issue.

1. ELIGIBILITY

You must be at least 18 years old and legally capable of entering into a binding contract to create an ordinary Envella account.

The Services are currently offered primarily in the United States.

If you use the Services on behalf of a business or other organization, you represent that you have authority to act for and bind that organization.

2. ADDITIONAL AGREEMENTS

Certain Services or relationships may be governed by additional written terms, including enterprise, professional, partner, beta, evaluation, subscription, data-processing, or other agreements.

Where a separately executed agreement conflicts with these Terms, that agreement controls for the matters it expressly addresses.

3. YOUR ACCOUNT

· provide accurate account information;

· keep your information reasonably current;

· protect your credentials;

· use reasonable account-security practices;

· not impersonate another person;

· not use information you are unauthorized to use; and

· promptly notify Envella of suspected unauthorized account access.

You are responsible for activity conducted through your account except to the extent caused by Envella's failure to satisfy obligations imposed on it by law or contract.

You may not share, sell, transfer, or use account access in a manner intended to circumvent security, subscription, or usage restrictions.

4. THE SERVICES

Envella provides technology designed to help users organize and manage information relating to properties.

· change over time;

· be limited to certain users;

· depend on a particular subscription or account type;

· be offered in beta or preview form;

· be modified; or

· be discontinued.

Unless Envella separately agrees otherwise in writing, Envella does not guarantee that any particular feature or functionality will remain available.

Nothing in these Terms requires Envella to disclose the design, operation, implementation, methodology, or other nonpublic aspects of its technology.

5. AUTHORITY TO MANAGE PROPERTY INFORMATION

You may add, access, manage, or contribute information concerning a property only when you have appropriate authority.

· requesting verification;

· restricting access;

· preserving records;

· limiting disputed functionality; or

· taking other measures reasonably necessary to protect users or the Services.

Information within Envella does not establish legal ownership of real property.

Envella does not act as a court, title company, or independent adjudicator of property-ownership disputes.

6. USER CONTENT

"User Content" means information or materials you submit, upload, transmit, enter, or otherwise provide through the Services.

You retain whatever ownership rights you have in your User Content.

Envella does not acquire ownership of your underlying property documents, photographs, records, or other User Content merely because they are processed through the Services.

License to Envella

You grant Envella a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, analyze, format, transmit, and display User Content as reasonably necessary to:

· provide the Services;

· perform functionality you request;

· maintain, secure, support, and improve the Services;

· detect and prevent fraud, abuse, or unauthorized activity;

· comply with law; and

· process information as otherwise described in the Privacy Policy.

This license does not transfer ownership of User Content.

You represent that you have the rights and authority necessary to provide User Content and that your provision of it does not unlawfully infringe the rights of another person.

7. ENVELLA TECHNOLOGY

Except for User Content and third-party materials, Envella and its licensors retain all right, title, and interest in and to the Services and all related software, designs, documentation, data structures, analytics, methodologies, know-how, trademarks, trade secrets, and other intellectual property ("Envella Technology").

Nonpublic aspects of Envella Technology may constitute confidential information and trade secrets.

Your use of the Services grants only a limited right to use the Services in accordance with these Terms.

No ownership interest or other right in Envella Technology is transferred to you.

No license is granted by implication, estoppel, or otherwise.

8. OUTPUTS, SERVICE DATA, AND DE-IDENTIFIED INFORMATION

The Services may generate information, reports, recommendations, estimates, summaries, analyses, or other results ("Outputs").

You may use Outputs made available to you for ordinary authorized purposes associated with your use of the Services.

Receipt of an Output does not grant any right in Envella Technology or in nonpublic technology or methods used to provide the Services.

Envella may generate technical, operational, statistical, and analytical information through operation of the Services ("Service Data").

Subject to applicable privacy law, Envella retains rights in Service Data and may use aggregated or properly de-identified information for lawful purposes, including operating, securing, analyzing, developing, and improving its business and Services.

Nothing in this section gives Envella ownership of your underlying User Content.

9. RESTRICTED USE

Except to the extent prohibited by applicable law, you may not, and may not assist another person to:

· reverse engineer, decompile, disassemble, or attempt to derive nonpublic elements of the Services;

· scrape, crawl, systematically extract, harvest, mirror, or automate access to the Services except as expressly authorized by Envella;

· circumvent authentication, security, access, rate, subscription, or usage controls;

· access nonpublic systems or interfaces without authorization;

· conduct unauthorized vulnerability, penetration, or security testing;

· copy protected portions of the Services except where legally permitted;

· systematically collect or use Outputs or other information to reconstruct or approximate nonpublic Envella functionality;

· use Envella Technology, Confidential Information, or systematically collected information to develop, train, benchmark, improve, reproduce, or provide a competing product or service;

· use the Services for unlawful or fraudulent purposes;

· interfere with the operation or security of the Services; or

· access another person's account or information without authority.

Nothing in this section prohibits lawful consumer reviews, criticism, commentary, or rights that applicable law does not permit Envella to restrict.

10. BETA AND CONFIDENTIAL INFORMATION

Envella may provide beta, preview, evaluation, or other nonpublic Services.

Such Services may be incomplete, inaccurate, changed, suspended, or discontinued.

Information disclosed through a closed or nonpublic evaluation may constitute Envella Confidential Information.

Additional beta, evaluation, confidentiality, NDA, partner, or enterprise terms may apply. Where applicable, those additional terms control for the matters they address.

11. FEEDBACK

If you voluntarily provide Envella with ideas, suggestions, recommendations, bug reports, comments, or other feedback relating to the Services ("Feedback"), you grant Envella a perpetual, irrevocable, worldwide, transferable, sublicensable, royalty-free right to use, modify, incorporate, commercialize, and otherwise exploit that Feedback without obligation or compensation.

Feedback does not include ownership of unrelated private User Content.

12. INFORMATIONAL SERVICES; NO PROFESSIONAL ADVICE

Information provided through the Services may be incomplete, estimated, inaccurate, or outdated.

Unless Envella expressly agrees otherwise in writing, the Services and Outputs are informational and do not constitute:

· a property appraisal;

· a professional inspection;

· an engineering or architectural opinion;

· legal, tax, financial, or insurance advice;

· a safety or code-compliance certification;

· a credit, lending, underwriting, or other regulated eligibility decision;

· a warranty; or

· a guarantee of condition, performance, or future results.

You are responsible for obtaining qualified professional assistance where appropriate.

13. SAFETY; NOT AN EMERGENCY OR CONTINUOUS MONITORING SERVICE

Envella is not an emergency-response, security-alarm, fire-alarm, life-safety, or continuous property-monitoring service unless a separately contracted service expressly states otherwise.

Notifications, reminders, alerts, or communications may be delayed, unavailable, inaccurate, or dependent on third-party systems.

Do not rely on Envella as the sole means of detecting or responding to an emergency or dangerous property condition.

If you believe there is an immediate threat to life, health, safety, or property, contact emergency services or an appropriate qualified professional.

14. PROFESSIONAL AND COMMERCIAL USERS

A person or organization using the Services in a professional or commercial capacity remains independently responsible for:

· applicable licensing;

· professional standards;

· legal compliance;

· privacy obligations;

· services provided to customers;

· representations made to customers; and

· professional judgments or decisions.

Professional users may access property information only with appropriate authorization.

Unless separately authorized by Envella in writing, ordinary consumer Services and Outputs may not be used as the basis for regulated eligibility decisions concerning credit, employment, housing, insurance, lending, or similar legally regulated opportunities.

Envella's ordinary consumer Services are not intended to operate as a consumer reporting agency.

Separate commercial or enterprise terms may apply to professional uses.

15. THIRD-PARTY PRODUCTS, INFORMATION, AND SERVICES

The Services may display, incorporate, link to, integrate with, recommend, or otherwise involve products, information, or services offered by independent third parties.

Envella does not control and does not guarantee third-party:

· information;

· pricing;

· availability;

· quality;

· licensing;

· performance;

· warranties; or

· suitability.

Your relationship with an independent third party may be governed by that party's own terms and policies.

Envella may receive referral, affiliate, marketplace, advertising, sponsorship, lead-generation, commission, or other compensation in connection with certain third-party relationships.

Where required by law, compensated or sponsored relationships will be disclosed.

16. PLANS, FEES, SUBSCRIPTIONS, AND TRIALS

Envella may offer free and paid Services.

Applicable pricing, billing frequency, renewal terms, and material purchase conditions will be disclosed at or before purchase.

Purchases processed through Apple, Google, or another app store are also governed by the applicable platform's billing, cancellation, renewal, and refund rules.

Where subscriptions automatically renew, renewal and cancellation information will be provided as required by applicable law and the applicable purchase channel.

Envella may change future pricing, plan features, or subscription offerings subject to applicable law and applicable purchase terms.

Except where required by law or otherwise stated at purchase, fees paid directly to Envella are non-refundable.

Canceling a subscription does not by itself delete your Envella account or User Content.

17. PRIVACY

Envella's Privacy Policy describes how Envella processes personal information and forms part of the terms governing your use of the Services.

18. SUSPENSION AND TERMINATION

You may stop using the Services at any time.

Envella may suspend, restrict, or terminate access where reasonably necessary because of:

· a material breach of these Terms;

· fraud or unlawful activity;

· abuse or security risk;

· nonpayment;

· unauthorized access, extraction, or automated use;

· misuse of Envella intellectual property or Confidential Information;

· conduct that threatens Envella, users, or the Services; or

· discontinuation of the applicable Services.

Envella will provide notice where required by applicable law.

Following termination, Envella may retain or delete information in accordance with the Privacy Policy and applicable law.

Provisions concerning ownership, intellectual property, restricted use, confidentiality, Feedback, disclaimers, liability, indemnification, and any other provisions that by their nature should survive will survive termination.

19. DISCLAIMERS

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES, OUTPUTS, CONTENT, AND INFORMATION ARE PROVIDED "AS IS" AND "AS AVAILABLE."

ENVELLA DISCLAIMS ALL WARRANTIES THAT MAY LAWFULLY BE DISCLAIMED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY.

ENVELLA DOES NOT WARRANT THAT:

· THE SERVICES WILL ALWAYS BE AVAILABLE, SECURE, OR ERROR-FREE;

· INFORMATION OR OUTPUTS WILL ALWAYS BE COMPLETE, CURRENT, OR ACCURATE;

· EVERY PROPERTY CONDITION, ISSUE, ASSET, OR PRODUCT WILL BE IDENTIFIED;

· ESTIMATES OR RECOMMENDATIONS WILL MATCH ACTUAL CONDITIONS OR RESULTS;

· NOTIFICATIONS OR REMINDERS WILL ALWAYS BE DELIVERED; OR

· THIRD-PARTY INFORMATION OR SERVICES WILL BE ACCURATE OR AVAILABLE.

NOTHING IN THESE TERMS EXCLUDES WARRANTIES, RIGHTS, OR REMEDIES THAT CANNOT LEGALLY BE WAIVED.

20. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ENVELLA AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

THIS INCLUDES, WHERE PERMITTED:

· LOST PROFITS;

· LOST REVENUE;

· LOST DATA;

· LOSS OF BUSINESS;

· LOSS OF OPPORTUNITY;

· BUSINESS INTERRUPTION;

· LOSS OF USE; OR

· PROPERTY-RELATED LOSS RESULTING FROM RELIANCE ON UNVERIFIED INFORMATION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ENVELLA'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

(A) THE AMOUNTS YOU PAID ENVELLA FOR THE APPLICABLE SERVICES DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR

(B) ONE HUNDRED U.S. DOLLARS ($100).

These limitations apply only to the extent permitted by applicable law.

21. INDEMNIFICATION

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Envella and its affiliates, directors, officers, employees, and agents from third-party claims, liabilities, losses, damages, and reasonable legal expenses arising from:

· User Content you provide without necessary rights;

· your material breach of these Terms;

· your violation of law;

· your infringement of another person's rights;

· your fraudulent or intentionally harmful conduct; or

· professional services or representations you independently provide through or in connection with the Services.

This obligation does not apply to the extent a claim results from conduct for which indemnification cannot legally be required.

22. INTELLECTUAL PROPERTY PROTECTION AND EQUITABLE RELIEF

Unauthorized acquisition, use, disclosure, copying, extraction, or exploitation of Envella Technology or Confidential Information may violate these Terms and applicable intellectual-property, trade-secret, contract, computer-access, unfair-competition, or other laws.

Envella reserves all legal and equitable remedies available to it.

You acknowledge that actual or threatened misuse of Envella Technology, Confidential Information, trade secrets, or protected systems may cause harm for which monetary damages alone may be inadequate.

Envella may seek temporary, preliminary, or permanent injunctive or other equitable relief where appropriate, in addition to any other remedy available by law.

Nothing in these Terms waives any trade-secret or other intellectual-property protection available to Envella.

23. DISPUTES; GOVERNING LAW AND VENUE

Before commencing a non-emergency legal action, a claimant should provide written notice reasonably describing the dispute to:

legal@envella.ai

and provide a reasonable opportunity to attempt informal resolution.

This informal process does not prevent Envella from seeking immediate relief involving intellectual property, Confidential Information, trade secrets, unauthorized access, security threats, or similar urgent matters.

Except where mandatory consumer law provides otherwise, these Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

To the extent permitted by applicable law, legal proceedings arising from or relating to these Terms or the Services will be brought in the appropriate state or federal courts located in Delaware.

Mandatory rights that cannot legally be waived remain unaffected.

24. CHANGES TO THESE TERMS

Envella may update these Terms as its Services, business, or applicable requirements change.

Material changes will be communicated where required by law.

Continued use of the Services after revised Terms become effective constitutes acceptance where permitted by applicable law.

25. GENERAL

You may not assign these Terms without Envella's prior written consent.

Envella may assign these Terms in connection with a financing, merger, acquisition, reorganization, sale of assets, corporate restructuring, or transfer of the applicable business.

Envella is not responsible for delays or failures caused by circumstances beyond its reasonable control.

You agree to receive notices and agreements electronically where legally permitted.

You agree to comply with applicable export-control and sanctions laws.

These Terms do not create a partnership, joint venture, fiduciary, employment, franchise, or agency relationship.

If any provision is held invalid or unenforceable, the remaining provisions remain effective.

Failure to enforce a provision does not waive future enforcement.

These Terms, together with the Privacy Policy, applicable EULA, applicable purchase terms, and other agreements expressly incorporated by reference, form the agreement governing the Services.

A separately signed commercial, enterprise, partner, beta, evaluation, or other agreement controls for matters it expressly addresses.

Except as expressly stated in an applicable EULA or written agreement, these Terms do not create third-party beneficiary rights.
